Appointments Council
The Appointments Council is responsible for appointing the CPA Australia Board of Directors and was established following the 2017 Independent Review, with related governance changes approved by members at the 2018 Annual General Meeting.
The purpose of the Appointments Council is to support confidence in the Board appointments process by ensuring appointments are made through a structured, merit based approach.
The Council helps ensure the Board comprises individuals with the skills, experience and attributes needed to govern effectively, having regard to:
- legal and governance obligations
- CPA Australia’s strategic direction
- the diversity of CPA Australia’s membership.
The Council works with the Board and the Nomination Committee to identify Board capability needs, including the mix of complementary skills and experience required over time.

How members participate
Members participate in the Board appointments process in two ways. First, eligible candidates may apply during the Board nomination period. CPA Australia promotes these opportunities through its own channels, including CPA Update and INTHEBLACK, together with selected media outlets and the external executive recruitment firm’s networks and recruitment channels.
Second, members are represented in the process through the Appointments Council itself. CPA Australia has stated that the Appointments Council comprises members elected from Divisional Councils, helping bring member representation into the Board appointments process.
What makes the process robust
The Board appointments process includes several features designed to support strong governance. These include external recruitment support, structured assessment and interviews, consideration of Board skills and succession needs, and Appointments Council oversight throughout the process. Together, these elements help support appointments on merit and with regard to the organisation’s strategy, governance needs and membership diversity.
The procedures, deliberations and meetings of the Appointments Council are strictly confidential. This confidentiality supports the integrity of the appointment process and helps protect candidates and the quality of deliberations

The Chair of the Appointments Council is the President and Chair of the Board of CPA Australia Ltd, although the President does not have voting rights.
